Digital Downloads – Business Use – License Agreement

1. Overview
This Commercial Use License Agreement (“License”) grants you, the purchaser (“You” or “Licensee”), limited rights to use the digital artwork you have purchased (“Artwork”) for approved commercial and business purposes, subject to the terms outlined below.
All rights not expressly granted remain the exclusive property of Phoebe Trites Art.
2. Files Included
Your purchase includes a multi-format digital file package of the Artwork, which may include:
• High-resolution JPG (300 DPI)
• PNG (high quality)
• TIFF (print-quality)
• WEBP (web-optimized)
File formats and specifications may vary slightly by artwork but are intended to support both digital and professional use cases.
3. Permitted Commercial Use
Under this License, you may use the Artwork for business and commercial purposes, including:
• Marketing and promotional materials (digital or print)
• Business websites, blogs, and online content
• Social media accounts associated with your business
• Internal business use (presentations, documents, internal branding materials)
All permitted uses must be directly associated with a single individual, business, or organization (“Licensed Entity”).
4. Restrictions
You may NOT:
• Sell, license, sublicense, share, or redistribute the Artwork file in any form
• Use the Artwork as a standalone product for sale (e.g., prints, posters, merchandise, digital downloads, NFTs, or similar items)
• Upload the Artwork to stock image platforms, marketplaces, or file-sharing services
• Allow third parties to access or use the Artwork outside of your Licensed Entity
• Claim the Artwork as your own or misrepresent authorship
• Use the Artwork in any unlawful, defamatory, or harmful manner
5. No Mass Reproduction or Resale Rights
This License does not grant rights for:
• Large-scale commercial product manufacturing
• Retail distribution of products featuring the Artwork
• Publishing, media distribution, or broadcast use
Such uses require a separate negotiated license agreement with Phoebe Trites Art.
6. Ownership & Copyright
The Artwork remains the intellectual property of Phoebe Trites Art and is protected under United States and international copyright laws.
This purchase grants a license to use the Artwork, not ownership of the copyright.
7. License Scope
• This License is non-exclusive and non-transferable
• This License applies to one Licensed Entity only
• Contractors or service providers (e.g., designers, marketers) may use the Artwork only on your behalf, not for their own use
8. Digital Goods Acknowledgement
By purchasing and downloading this digital Artwork, you acknowledge and agree that:
• The Artwork is a digital product delivered electronically
• Access to the Artwork may be made available immediately after purchase
• Due to the nature of digital goods, you may not be entitled to cancellation, return, or refund rights once the download has been accessed, except where required by applicable law
9. Refunds & Technical Issues
All sales are final once the Artwork has been downloaded or accessed.
If you experience a technical issue with your download, please contact us within 5 days of purchase, and we will make reasonable efforts to assist you.
10. Termination
This License is automatically terminated if you violate any of its terms.
Upon termination, you must cease all use of the Artwork and delete all copies in your possession.
11. Governing Law
This License shall be governed by and interpreted in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law principles.
