Digital Downloads – Limited Production – License Agreement

1. Overview
This Limited Production License Agreement (“License”) grants you, the purchaser (“You” or “Licensee”), limited rights to use the digital artwork you have purchased (“Artwork”) for approved commercial purposes, including the creation of physical products for resale in limited quantities, subject to the terms outlined below.
All rights not expressly granted remain the exclusive property of Phoebe Trites Art.
2. Files Included
Your purchase includes a multi-format digital file package of the Artwork, which may include:
* High-resolution JPG (300 DPI)
* PNG (high quality)
* TIFF (print-quality)
* WEBP (web-optimized)
File formats and specifications may vary slightly by artwork but are intended to support both digital and product-based use.
3. Permitted Use
Under this License, you may:
• Use the Artwork for business and commercial purposes, including:
• Marketing and promotional materials
• Business websites and social media
• Internal business use
• Incorporate the Artwork into physical products for resale, including but not limited to:
• Apparel (e.g., t-shirts)
• Drinkware (e.g., mugs)
• Stickers
• Prints
4. Production Limit
You may produce and sell up to 1,000 total physical units incorporating the Artwork.
• This limit applies to the total number of units produced using the Artwork under this License
• Production beyond 1,000 units requires a separate extended or custom licensing agreement
5. Restrictions
You may NOT:
• Sell, license, sublicense, share, or redistribute the Artwork file in any digital form
• Use the Artwork as a standalone digital product for sale or distribution
• Upload the Artwork to stock image platforms, marketplaces, or file-sharing services
• Use the Artwork for mass manufacturing, wholesale distribution, or large-scale retail
• Allow third parties to use the Artwork outside of your Licensed Entity
• Claim the Artwork as your own or misrepresent authorship
6. No Mass Media or Extended Licensing Rights
This License does not include rights for:
• Large-scale commercial manufacturing beyond the 1,000-unit limit
• Retail chain or enterprise-level distribution
• Publishing, broadcast, or media licensing
Such uses require a separate negotiated agreement, which may include flat fees, royalties, or hybrid compensation structures.
7. Ownership & Copyright
The Artwork remains the intellectual property of Phoebe Trites Art and is protected under United States and international copyright laws.
This purchase grants a license to use the Artwork, not ownership of the copyright.
8. License Scope
• This License is non-exclusive and non-transferable
• This License applies to one individual, business, or organization (“Licensed Entity”)
• Contractors or service providers may use the Artwork only on your behalf
9. Digital Goods Acknowledgement
By purchasing and downloading this digital Artwork, you acknowledge and agree that:
• The Artwork is a digital product delivered electronically
• Access to the Artwork may be made available immediately after purchase• Due to the nature of digital goods, you may not be entitled to cancellation, return, or refund rights once the download has been accessed, except where required by applicable law
10. Refunds & Technical Issues
All sales are final once the Artwork has been downloaded or accessed.
If you experience a technical issue with your download, please contact us within 5 days of purchase, and we will make reasonable efforts to assist you.
11. Termination
This License is automatically terminated if you violate any of its terms.
Upon termination, you must cease all use of the Artwork and delete all copies in your possession.
12. Governing Law
This License shall be governed by and interpreted in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law principles.
